Terms of Service

Effective 1 November 2026

These terms are an agreement between you and MB Piruz Afruz (trading as Actuba, company code 306655229) (“MascotReel”, “we”), Laisvės pr. 60, LT-05120 Vilnius, Lithuania. By creating an account, buying a plan or redeeming a code, you agree to them. Our Refund Policy is part of these terms.

1. The service

MascotReel turns a video clip you upload into a vertical short (MP4, 720×1280) in which an AI mascot reacts to the clip, together with a suggested title, description and hashtags. We call each finished video a “short”. We only promise the features the service has at the time you buy. Features we describe as planned are not part of any plan until we release them.

2. Your account

• You must be at least 18, or the age of majority where you live, and able to enter a contract.
• One account is for one person or one business. Keep your password private; you are responsible for what happens in your account.
• Use an email address you can receive mail at. We send billing and service notices there.

3. Plans, billing and shorts

We are the seller. Payments are processed by Stripe, which charges your card and keeps your card details; we never see them. Prices are in US dollars, and any VAT or sales tax the law requires is added at checkout.

• Monthly allowance. Your plan’s shorts are added at the start of each monthly period, including on yearly plans and the Founder deal. Unused monthly shorts do not carry over to the next period.
• Subscriptions renew automatically at the end of each month or year and you are charged the then-current price, until you cancel.
• Nothing is lifetime. The Founder deal and AppSumo codes give 12 months of access. They do not renew. When they end, you can choose a subscription or stop.
• The Founder deal is limited to 100 seats in total, counting direct sales and AppSumo codes. Each account can hold one Founder deal or one AppSumo code; codes do not stack.
• Extra packs add 20 shorts on top of your allowance. They do not expire while your account is open, and they stay usable after a plan ends.
• Each short uses one credit when you start it. If a short fails or is rejected by the content check, the credit is returned automatically.
• Upgrades take effect immediately and top up the current period to the new plan’s allowance.

4. Cancelling and when access ends

• You can cancel a subscription at any time with the Manage billing button in your dashboard. You keep your plan until the end of the period you have paid for; it then stops and is not charged again.
• If a renewal payment fails, Stripe retries it for a short time. If it still fails, the subscription ends.
• When a plan, Founder deal or code ends, unused monthly shorts end with it. Extra-pack shorts and your account remain.
• We keep finished shorts available to download for at least 30 days after they are made. After that we may delete them, so keep your own copies. We may delete uploaded source clips once the short is made.

5. Price changes

We may change prices or monthly allowances for future periods. We will email you at least 30 days before a change affects a renewal, so you can cancel first. We never change what you already paid for during a period you have paid for.

6. Your clips

• How we handle your personal data is explained in our Privacy Policy.
• You keep ownership of the clips you upload. You give us permission to store, process and send them to our AI providers only to make your shorts and run the service.
• For every upload you confirm that you own the clip or have permission to use it, and that it does not break anyone’s rights or the law.
• Do not upload clips containing nudity or sexual content, graphic violence, dangerous pranks, children shown in a way that could harm them, hate, harassment, private information about others, or anything illegal. We may refuse or delete such clips and suspend accounts that keep uploading them.

7. Your shorts and the mascot

• Shorts are made by third-party AI models. They can be inaccurate, unfunny or, rarely, inappropriate. Watch every short before you post it. You are responsible for what you publish and for following each platform’s rules.
• As between you and us, you may use the shorts you make, including commercially and on monetised channels, and they may stay published after your plan ends.
• The mascot characters (including Milo), their names, look and voice belong to us. You may use them only inside shorts made with MascotReel, not on merchandise, in logos, in other tools or as a character of your own.
• We do not promise views, followers, income, or that any platform will accept or monetise your shorts.

8. Acceptable use

Do not share or resell accounts, get around plan limits, scrape or overload the service, reverse engineer it, or use it to impersonate real people or mislead viewers. We may limit or suspend use that harms the service or other people.

9. Availability and if we stop the service

We work to keep MascotReel running but do not guarantee it is always available or error-free. We may change or remove features with reasonable notice. If we shut MascotReel down, we will email you at least 30 days before, and refund the unused part of any yearly plan, Founder deal or unused extra packs, pro rata.

10. Suspension and closing your account

You can close your account at any time by emailing us. We may suspend or close an account that breaks these terms, after telling you why where the law allows. If we close an account without a breach on your side, we refund the unused part of what you prepaid.

11. Liability

The service is provided “as is”. To the extent the law allows, we are not liable for indirect or consequential losses such as lost profits, lost revenue, channel strikes or lost data, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, or your rights as a consumer under the laws of the country you live in.

12. Changes to these terms

We may update these terms. For changes that matter, we will email you at least 14 days before they apply. If you keep using MascotReel after that, the new terms apply; if you don’t agree, you can cancel and the Refund Policy applies.

13. Law and disputes

These terms are governed by the laws of the Republic of Lithuania, and the courts of Vilnius have jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of the country you live in and may bring a claim there.
